Privacy, and Use Terms.

This Privacy, Use, and Terms Agreement (the "Agreement") governs the relationship between PUK Designs LLC (the "Agency") and its clients (referred to as "you" or "the Client") regarding the privacy and use of files and materials provided by the Agency. By engaging the services of the Agency, you agree to comply with the terms and conditions outlined in this Agreement.

1. Confidentiality and Privacy:

   a. The Agency understands the importance of confidentiality and will treat all information, files, and materials provided by the Client as strictly confidential.

   b. The Agency will not disclose any confidential information to third parties without the prior written consent of the Client, unless required by law.

   c. The Agency will take reasonable measures to protect the privacy and security of all files and materials provided by the Client, using industry-standard security practices.

2. Ownership and Use of Files:

   a. All files and materials created or provided by the Agency for the Client will be owned by the Client upon full payment, unless otherwise agreed upon in writing.

   b. The Client is granted an exclusive, transferable, and perpetual license to use, modify, reproduce, distribute, and display the files and materials for any lawful purpose.

   c. The Agency retains the right to display the Client's project in its portfolio or promotional materials unless otherwise agreed upon in writing.

3. Liability:

   a. The Agency will make reasonable efforts to ensure the accuracy and quality of its services. However, the Agency does not guarantee the accuracy, reliability, or completeness of the files, materials, or services provided.

   b. The Agency will not be liable for any direct, indirect, incidental, consequential, or special damages arising from or in connection with the use of its services, including but not limited to any loss of data, profits, or business opportunities.

   c. The Client assumes all responsibility for the selection, use, and results obtained from the files and materials provided by the Agency. The Client agrees to indemnify and hold the Agency harmless from any claims, damages, or losses arising from the use of these files and materials.

4. Termination:

   a. Either party may terminate the engagement by providing written notice to the other party.

   b. Upon termination, the Client will retain ownership of all files and materials provided by the Agency, and the Agency will provide any necessary assistance to facilitate the transfer of files to the Client.

5. Governing Law and Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado. Any disputes arising from or in connection with this Agreement shall be submitted to the exclusive jurisdiction of the courts in the State of Colorado.

6. Entire Agreement: This Agreement constitutes the entire understanding between the Agency and the Client concerning the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written.

By engaging the services of the Agency, you acknowledge that you have read, understood, and agreed to the terms and conditions of this Agreement.
